1. Acceptance of Terms

By accessing or using Workfile's services at workfile.io and related domains (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and Workfile. We may modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any modifications.

2. Description of Services

Workfile provides a software-as-a-service (SaaS) eCommerce platform that enables merchants to:

• Create and manage online stores
• List and sell products and services
• Process payments through integrated payment gateways
• Manage orders, inventory, and customer relationships
• Customize storefronts using our visual page builder
• Access analytics and business insights

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use our services. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. Providing false information may result in account termination.

4. Merchant Obligations

As a merchant using our Platform, you agree to:

• Comply with all applicable laws, including consumer protection, GST, and tax regulations
• Provide accurate product descriptions, pricing, and availability information
• Fulfill orders in a timely manner and honor your stated policies
• Handle customer complaints and disputes professionally
• Maintain valid business registrations and licenses as required
• Not sell prohibited items (see Section 5)
• Display required legal information on your storefront

5. Prohibited Activities

You may not use the Platform to:

• Sell illegal, counterfeit, or stolen goods
• Sell weapons, drugs, or controlled substances
• Engage in fraud, money laundering, or deceptive practices
• Infringe on intellectual property rights
• Distribute malware or engage in hacking activities
• Harass, abuse, or harm others
• Violate any applicable laws or regulations
• Circumvent platform fees or payment processing
• Create multiple accounts to abuse promotions or evade restrictions

6. Fees and Payment

6.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available at workfile.io/pricing. We reserve the right to modify pricing with 30 days notice.

6.2 Transaction Fees

Transaction fees vary by plan and are charged on each sale processed through the Platform. Payment gateway fees (Razorpay, Stripe) are separate and charged by the respective providers.

6.3 Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as stated in our Refund Policy. Failure to pay may result in service suspension.

7. Intellectual Property

7.1 Our Property

The Platform, including its design, features, and content, is owned by Workfile and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials.

7.2 Your Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a non-exclusive license to use, display, and distribute such content as necessary to provide our services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Workfile provides the Platform "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for third-party services, including payment processors
• We are not liable for disputes between merchants and their customers

9. Indemnification

You agree to indemnify and hold harmless Workfile, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

10.1 By You

You may cancel your account at any time through your dashboard settings. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice. In case of serious violations, termination may be immediate.

10.3 Effect of Termination

Upon termination, your access to the Platform will cease. You may export your data within 30 days of termination. We may retain certain data as required by law.

11. Dispute Resolution

Any disputes arising from these Terms shall be:

• First attempted to be resolved through good-faith negotiation
• Subject to arbitration under the Arbitration and Conciliation Act, 1996
• Governed by the laws of India
• Subject to the exclusive jurisdiction of courts in [City], India

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Workfile
• Severability: If any provision is found unenforceable, other provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
