Merchant Agreement

1. Introduction
This Merchant Agreement ("Agreement") governs your use of Workfile as a seller. By creating a store on Workfile, you agree to comply with this Agreement in addition to our Terms of Service.
This Agreement is between you ("Merchant", "Seller", or "you") and Workfile ("we", "us", or "our"). It outlines your responsibilities, our expectations, and the rules for operating a store on our platform.
2. Seller Eligibility
To become a merchant on Workfile, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate business and personal information
- Have a valid bank account for receiving payments
- Comply with all applicable laws in your jurisdiction
- Not have been previously banned from our platform
3. Seller Responsibilities
As a merchant on Workfile, you agree to:
- Provide accurate and complete information about your products and services
- Maintain accurate pricing and inventory information at all times
- Respond to customer inquiries within 48 hours
- Process and fulfill orders within your stated timeframes
- Comply with all applicable consumer protection laws
- Maintain appropriate business licenses and permits as required
- Handle customer complaints professionally and in good faith
- Keep your store information and policies up to date
4. Product Listing Guidelines
All products and services listed on your store must:
- Be accurately described with clear, honest descriptions
- Include high-quality images that represent the actual product
- Not infringe on any intellectual property rights
- Comply with all applicable safety standards and regulations
- Not be prohibited items (see Section 8)
- Include accurate pricing in Indian Rupees (INR)
- Clearly state shipping costs, delivery times, and return policies
5. Pricing and Fees
5.1 Your Pricing
You are responsible for setting your own prices. Prices must be displayed in INR and include all applicable taxes. You may not engage in price gouging or deceptive pricing practices.
5.2 Platform Fees
Workfile charges the following fees:
- Subscription Fee: Monthly or annual fee based on your selected plan
- Transaction Fee: Percentage of each sale as specified in your plan (if applicable)
- Payment Gateway Fee: Charged by Razorpay/Stripe (separate from platform fees)
All fees are exclusive of GST. Current pricing is available at workfile.io/pricing.
6. Order Fulfillment
You agree to:
- Ship orders within the timeframe specified in your store settings
- Provide tracking information when available
- Package items securely to prevent damage during shipping
- Use reliable shipping carriers
- Handle returns and refunds according to your stated policy
- Maintain adequate inventory to fulfill orders
- Notify customers promptly of any delays or issues
7. Returns and Refunds
You must establish and clearly communicate your return and refund policy. Your policy must comply with applicable consumer protection laws, including:
- Consumer Protection Act, 2019
- E-Commerce Rules, 2020
- Any applicable state consumer protection regulations
At minimum, you must accept returns for defective products and honor any warranties you provide.
8. Prohibited Items
You may not sell the following on Workfile:
- Illegal drugs, controlled substances, or drug paraphernalia
- Weapons, ammunition, explosives, or related accessories
- Counterfeit, replica, or stolen goods
- Items that infringe intellectual property rights
- Adult content or services (unless specifically permitted for your store)
- Hazardous materials or dangerous goods
- Live animals or animal products from endangered species
- Human body parts, remains, or bodily fluids
- Items promoting hate, violence, or discrimination
- Tobacco products, e-cigarettes, or vaping supplies
- Prescription medications or medical devices without proper licensing
- Any items prohibited by Indian law
9. Customer Data
You will have access to customer data necessary to fulfill orders. You agree to:
- Use customer data only for order fulfillment and customer service
- Not sell, share, or misuse customer data for any other purpose
- Comply with applicable data protection laws including IT Act, 2000
- Implement appropriate security measures to protect customer data
- Delete customer data upon request (subject to legal retention requirements)
- Not contact customers for marketing without their consent
10. GST Compliance
If you are registered for GST or meet the registration threshold, you must:
- Provide your valid GSTIN during registration
- Issue GST-compliant invoices for all orders
- Collect and remit GST as required by law
- Maintain accurate records for tax purposes
- File GST returns on time
- Display your GSTIN on your store
Workfile provides tools to generate GST-compliant invoices, but you are responsible for ensuring compliance with tax laws.
11. Account Suspension and Termination
Workfile may suspend or terminate your merchant account for:
- Violation of this Agreement or Terms of Service
- Excessive customer complaints or negative reviews
- High chargeback or dispute rates
- Fraudulent activity or deceptive practices
- Selling prohibited items
- Non-payment of platform fees
- Extended inactivity (no sales for 12+ months)
- Legal requirements or court orders
We will provide notice before suspension when possible, except in cases of serious violations where immediate action is required.
12. Indemnification
You agree to indemnify and hold harmless Workfile, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your products or services, your violation of this Agreement, or your infringement of any third-party rights.
13. Dispute Resolution
Any disputes between you and your customers should be resolved directly. Workfile may, at its discretion, assist in dispute resolution but is not obligated to do so.
Disputes between you and Workfile shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, Karnataka, India.
14. Modifications
Workfile may modify this Agreement at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the modified Agreement.
